Directory Web Site Terms and Conditions

1. Subject to the terms of this Agreement Imyge Net will use its best endeavours to publish and maintain the Advertiser's page or pages (“the Pages”) on the chosen town directory website/s (“the Website”)

2. The Pages are submitted to Imyge Net for publication on the following terms:

2.1 The Advertiser will retain copyright and all property rights in the content of its Pages;

2.2 Subject to 2.4 below, the Advertiser may change the Pages at any time;

2.3 The Advertiser is responsible for supplying all content, including copy, images, photographs and logo for the Pages;

2.4 Imyge Net reserves the right at any time to reject or remove from the Website any page or part of any page at its absolute discretion;

2.5 The Advertiser warrants that the content of the Pages from time to time will not

2.5.1 infringe the intellectual property of any third party,

2.5.2 breach any rights capable of protection at law,

2.5.3 cause offence to any person, or

2.5.4 constitute a breach of statutory duty or criminal offence and irrevocably indemnifies Imyge Net against all actions, costs, claims, demands and liability whatsoever arising from the publication on the Website of material supplied by the Advertiser.

3. Imyge Net will seek to maintain the Website and to maximise its search engine placement, but subject to the proviso below this Agreement excludes on the part of Imyge Net all and every liability for

3.1 failure of the Website or any part of it howsoever caused and for whatever period of time;

3.2 any loss, claim, expenditure or costs including loss of profit or loss of opportunity incurred whether directly or indirectly as a result of such failure;

3.3 failure of the Website to achieve any specific search engine placement;

3.4 removal of the whole or any part of the Advertiser's content from the Website;

3.5 any copy or other reference to the content of the Pages by a third party;
PROVIDED THAT Imyge Net will refund to the Advertiser any charges (calculated at a daily rate) paid under this Agreement which relate to a period longer than 6 consecutive days when the Pages were for any reason not published on the Website

4. This Agreement shall take effect for a minimum of three months from the date on which the Pages appear on the Website and will continue thereafter until

4.1 Imyge Net notifies the Advertiser that it will no longer maintain the Pages on the Website, or

4.2 the Advertiser terminates this Agreement by giving Imyge Net not less than 30 days' notice in writing.

5. The Advertiser shall pay Imyge Net at Imyge Net's charging rate applicable for the time being for publication on the Website without deduction with effect from the first date of publication of the Pages on the following terms:

5.1 the Advertiser agrees to pay calendar monthly in arrears for any month or part month in which the Pages are published on the Website;

5.2 Imyge Net will notify the Advertiser of any increase in charging rates by email not less than 45 days before it takes effect.

Payment Terms

In order to keep our costs down, and our prices low, we operate on a payment with order basis, i.e. we require payment at the start of a print job. Unless authoristised in writing by Imyge Net.

We accept payment by cash, cheque or bank transfer.

Terms of Business

1. We Imyge Net will supply to you, the Buyer, the Goods and Services agreed between us in writing for the quoted Price. A contract is formed only when we accept your order.

You, the Buyer, are the person placing the order/the company that person tells us he or she represents no later than the time when the order is received.

2. These terms together with anything else we confirmed in writing apply to the supply of Goods and Services by Imyge Net to the exclusion of all other terms, representations or warranties.

3. The Price is payable when we accept your order. Payment may be by cash, cheque or credit card. We will not send you the Goods or supply the Services until you pay us in full. We will not give refunds or credit notes for Goods or Services which have been correctly supplied.

4. Our liability for any breach of contract or warranty is excluded to the maximum extent permitted by law. In no circumstances will we be liable for (i) indirect or consequential loss (ii) damages exceeding the Price.

5. In order to claim damages or justify withholding all or part of the Price, you must make any complaint about the Goods or Services within 3 days of delivery and return Goods for inspection. If any of our Goods and Services are defective, we will be free to decide whether to replace them or to give you a credit note. Having done either, we will have no further liability.

6. The web-sites we build are compatible with Internet Explorer 4 and above. Our websites are also compatible with Netscape/Opera and Mozilla but advanced features may not be supported. Our websites are built for optimal viewing in 800 x 600 resolution.

7. We will not be liable for any breach originally or mainly caused by something beyond our control. Subject to this, we will carry out additional work for you to the value of the print element of any Goods and Services we supply later than agreed. Otherwise dates and times proposed for delivery or completion are not binding on us.

8. We may use the services of sub-contractors, agents and suppliers who have their own contract terms and conditions. We will provide these terms to you on request and in any event you will be bound by them to the extent that they affect our supply of the Goods and Services.

9. If you do not comply with this contract, we may stop work until you do comply. We may also pursue any other remedy we are entitled to. If we take no action in response to any breach of contract on your part, we may still enforce these terms later.

10. If any of these terms proves to be unenforceable, the other terms will still apply.

11. No third party can take advantage of this contract under the Contracts (Rights of Third Parties) Act 1999 or otherwise.

12. Both you and we agree that (1) except where an injunction is sought, we will try to resolve any dispute between us by formal mediation before issuing any court proceedings and (ii) any court action between us will take place in England and Wales.
